1. Definitions
In these Terms and Conditions:
- "Service" refers to the residential leasing advisory services provided by Onyxgate
- "Client" or "You" refers to any individual or organization engaging our services
- "We," "Us," or "Our" refers to Onyxgate and its authorized representatives
- "Property" refers to any residential unit for which we provide advisory services
- "Agreement" refers to the service engagement between Onyxgate and the Client
- "Website" refers to the Onyxgate website and related digital properties
2. Acceptance of Terms
By engaging our services or using our website, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our services.
You confirm that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are engaging our services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
3. Service Description
Onyxgate provides residential leasing advisory services in Singapore, including but not limited to:
- Property search and identification services
- Lease negotiation and structuring assistance
- Property viewings and assessments
- Move-in coordination and support
- Market analysis and property comparisons
- Coordination with landlords, building management, and corporate relocation departments
Services are provided on an advisory basis. We do not guarantee specific outcomes, property availability, or lease terms. Final decisions regarding property selection and lease execution remain with the client and property owner.
4. Service Engagement
Engagement of our services begins when you submit a consultation request or service inquiry through our website, telephone, or email communication. Specific service terms, fees, and scope will be outlined in a separate service agreement or engagement letter.
We reserve the right to decline service engagements at our discretion, particularly in cases where we determine we cannot adequately serve your requirements or where conflicts of interest may exist.
5. Client Obligations
As a client, you agree to:
- Provide accurate, complete, and truthful information regarding your requirements and circumstances
- Promptly respond to communications and requests for information
- Maintain confidentiality of proprietary information shared during property searches
- Respect viewing appointments and provide reasonable notice of cancellations
- Work exclusively with Onyxgate for properties introduced through our services during the engagement period
- Comply with all applicable laws and regulations in Singapore
- Pay agreed service fees in accordance with the payment terms specified
6. Fees and Payment
Service fees are specified in the service agreement or engagement letter. Unless otherwise stated:
- Fees are quoted in Singapore Dollars (SGD)
- Payment is required in accordance with the terms specified in the service agreement
- Additional fees may apply for services beyond the initial scope
- All fees are exclusive of applicable taxes unless specifically stated otherwise
Refunds, if applicable, will be considered on a case-by-case basis and are not guaranteed. In general, fees paid for services already rendered are non-refundable.
7. Intellectual Property
All content on our website and in our service materials, including text, graphics, logos, designs, and proprietary information, is the property of Onyxgate and is protected by intellectual property laws.
You are granted a limited, non-exclusive license to access and use our services for your personal residential search purposes. You may not reproduce, distribute, modify, or create derivative works from our materials without express written permission.
8. Confidentiality
We maintain strict confidentiality regarding client information and property searches. Both parties agree to:
- Treat all information shared during the engagement as confidential
- Use confidential information only for purposes related to the service engagement
- Not disclose confidential information to third parties without consent
- Return or destroy confidential materials upon request or termination of services
9. Disclaimers and Limitations
Our services are provided on an "as is" and "as available" basis. While we strive to provide accurate information and quality service, we make no warranties or representations regarding:
- The accuracy or completeness of property information provided by third parties
- The suitability of any particular property for your specific needs
- The success of lease negotiations or the terms that may be achieved
- Property availability or market conditions
- Future property values or rental rates
We are not responsible for actions or decisions made by property owners, building management, or other third parties involved in the leasing process.
10. Limitation of Liability
To the maximum extent permitted by Singapore law, Onyxgate's total liability for any claims arising from our services shall not exceed the total fees paid by the client for the specific service engagement giving rise to the claim.
We shall not be liable for any indirect, consequential, incidental, special, or punitive damages, including but not limited to loss of profits, loss of data, or loss of opportunity, even if we have been advised of the possibility of such damages.
11. Termination
Either party may terminate the service engagement by providing written notice. Upon termination:
- The client remains responsible for payment of services rendered prior to termination
- Ongoing obligations regarding confidentiality and intellectual property continue
- We will provide a final accounting of services provided and fees due
- Properties introduced by Onyxgate during the engagement period remain subject to our service terms
12. Governing Law and Jurisdiction
These Terms and Conditions are governed by the laws of Singapore. Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Singapore.
Before initiating formal legal proceedings, parties agree to attempt to resolve disputes through good faith negotiations. If negotiations are unsuccessful, either party may proceed with formal dispute resolution.
13. Indemnification
You agree to indemnify and hold harmless Onyxgate, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these terms, your violation of any law or regulation, or your misuse of our services.
14. Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond their reasonable control, including natural disasters, government actions, pandemics, or other force majeure events. In such cases, the affected party will notify the other party promptly and make reasonable efforts to resume performance.
15. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Material changes will be communicated through our website or direct notification to active clients. Continued use of our services after changes are posted constitutes acceptance of the modified terms.
Service agreements already in effect at the time of changes will be governed by the terms in effect when the agreement was established, unless otherwise agreed in writing.
16. Severability
If any provision of these Terms and Conditions is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
17. Entire Agreement
These Terms and Conditions, together with any service agreement or engagement letter, constitute the entire agreement between you and Onyxgate regarding the use of our services, superseding any prior agreements or understandings, whether written or oral.
